The original underlined part is "noun" which has not any relationship with the main clause. We need to find the relationship between this "noun" and main clause. That's the reason to use "with" to build up the relationship between them.

As for the answer C, I can't recongize what function of the "as" in this choice. Remember Mike has a memo....maybe it can give you some ideas.
